Mandatory minimum requirements for independent audit committee member candidates at LAU Infra Grupa AS: Impeccable reputation; Academic higher or second-level professional higher education in economics, management, finance, or a related field; State language proficiency at C1 level; At least three years of relevant professional experience (acquired in the last 10 years) in annual report preparation or audit of such reports, or certified auditor status; Understanding or experience (acquired in the last 5 years) in sustainability report preparation or providing assurance of sustainability reports; At least three years of relevant professional experience (acquired in the last 10 years) in finance or audit management positions that ensure the competence and knowledge necessary to professionally perform the duties of an audit committee member in this position; Knowledge and understanding of LAU Infra Grupa AS operational issues in the sector; Compliance with requirements set out in sections 3, 4, and 5 of Article 55.6 of the Financial Instruments Market Law, compliance with state official position combination restrictions as defined in the Law "On Prevention of Conflict of Interest in State Officials' Activities" Articles 8 and 81, and prevention of other possible conflict of interest situations if elected to the audit committee; English language proficiency at least B2 level in accordance with European Common Framework of Reference for Languages; Understanding of state capital company operations and state capital share management. Competencies required for LAU Infra Grupa's independent audit committee member to perform duties: analytical thinking, results orientation, planning and organization, and decision-making and accountability. Restrictions for candidates are specified in sections 3, 4, and 5 of Article 55.6 of the Financial Instruments Market Law. Monthly remuneration for audit committee member (gross): 850 EUR per month for audit committee chair; 765 EUR per month for audit committee member.
