We invite applications for two board member positions at the joint-stock company "RĪGAS SILTUMS" The Ministry of Economics (holder of 48.995% of the shares in AS "RĪGAS SILTUMS") announces a competition for two board member positions at AS "RĪGAS SILTUMS" in the following areas: strategy, investment projects, and energy; corporate governance, company, team, and stakeholder management Mandatory requirements for candidates to the board member position at AS "RĪGAS SILTUMS": academic higher education or second-level professional higher education in management, finance, economics, business, law, engineering, or other equivalent field that provides the necessary knowledge and competencies to professionally fulfill the duties of a board member at AS "RĪGAS SILTUMS"; work experience meeting at least one of the stated requirements: - at least three years of experience in the last 10 (ten) years as a member of the management board of a medium or large capital company*; - at least two years of experience in the last 10 (ten) years as a board member of a medium or large capital company*; - at least three years of experience in the last 10 (ten) years in a leadership position (head of institution or deputy) in a state institution responsible for forming or implementing economic policy, commercial law, finance, energy, construction, or housing policy. proficiency in the state language at the level established in legal acts on state language use; English language proficiency at the level necessary for professional performance of board member duties – at least B2 level; impeccable reputation; motivation to hold the position of board member at AS "RĪGAS SILTUMS". Note: *Medium or large capital company - in accordance with the threshold criteria established in the Annual Reports and Consolidated Annual Reports Law. In addition to the mandatory requirements mentioned above, compliance with the following mandatory requirements is necessary: For candidates to the board member position at AS "RĪGAS SILTUMS" with competence in strategy, investment projects, and energy: understanding, knowledge, and at least two years of experience in the last 10 (ten) years in energy, strategy development and implementation, and investment project implementation matters; For candidates to the board member position at AS "RĪGAS SILTUMS" with competence in corporate governance, company and stakeholder management: understanding, knowledge, and at least two years of experience in the last 10 (ten) years in company and team management, corporate governance, and stakeholder management matters. Candidates are subject to the following experience, motivation, knowledge, and competency requirements: desirable experience in the last 10 (ten) years in a leadership position in capital companies that were profitable for at least two consecutive years during the candidate's work or tenure; desirable experience in the last 10 (ten) years in managing or implementing large-scale projects (at least 3 million euros); understanding of AS "RĪGAS SILTUMS" commercial operations; understanding and knowledge of capital company operations, management of state-owned capital shares, including the board's role in cooperation with state capital holders, management, and other stakeholders; understanding and knowledge of export and innovation implementation matters; ability to define strategic vision, set goals, and monitor their achievement; skills in presenting, arguing, persuading, and building constructive discussion. Deeply assessed competencies necessary to fulfill the duties of the board member position at AS "RĪGAS SILTUMS" (in accordance with Cabinet of Ministers Regulation No. 20 of January 7, 2020 "Procedure for Nominating Management and Board Members in Capital Companies Where Capital Shares Belong to the State or a Derived Public Person"): results orientation (essential competency); decision-making and responsibility (essential competency); orientation towards development; building and maintaining positive relationships; managing change. Special conditions: compliance with the requirements of the fourth part of Article 31 of the Public Capital and Capital Companies Management Law; the board member position is subject to civil servant status and its established restrictions; compliance with the requirements of the Law "On Prevention of Conflicts of Interest in the Activities of Civil Servants". Candidates who advance to the second round will be invited no later than five days to submit a prepared presentation with a strategic vision on the topic set by the nomination commission according to the respective area (presentation duration - no more than 10 minutes). For the third round of selection, a personnel recruitment company will be engaged to conduct an in-depth assessment of candidates' competencies, obtain references, review reputation, and assess potential conflicts of interest risks and compliance with restrictions on holding positions established in legal acts.
